1. Agreement to Terms
By accessing our website or using any services provided by HM Prep ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services Overview
HM Prep provides warehousing, prep, and fulfillment services including but not limited to:
- FNSKU labeling and barcode application
- Amazon carton packing and shipment preparation
- eBay and Walmart order processing
- Product storage and warehousing
- Inspection and quality control
We serve sellers from all over the world who need US-based warehousing and prep services.
3. Pricing and Payment
- All service rates are listed on our pricing page and are subject to change with prior notice.
- Invoices are issued after services are completed and are due upon receipt unless otherwise agreed.
- Storage is free if 50 or more orders are shipped per month. If fewer than 50 orders are shipped per month, a storage fee of $50/month applies.
- Custom pricing may be negotiated for high-volume clients.
- Late payments may result in suspension of services until the outstanding balance is settled.
4. Inventory and Receiving
- You are responsible for ensuring that all inventory shipped to our warehouse is properly documented and manifested.
- We will count and inspect all incoming inventory upon receipt. Any discrepancies between your manifest and the actual count will be reported to you with photo documentation.
- HM Prep is not responsible for inventory that arrives damaged from shipping. We will document and notify you of any issues upon receiving.
- Prohibited, illegal, hazardous, or restricted items must not be shipped to our facility.
5. Storage Terms
- Storage fees are billed monthly based on your shipping volume as described in our pricing.
- Inventory left in our warehouse for more than 90 days without communication may be subject to additional fees or disposal after written notice.
- You may request the return of your inventory at any time. Shipping costs for returned inventory are your responsibility.
6. Liability and Insurance
- HM Prep exercises reasonable care in handling your inventory. However, our total liability for any loss or damage to your inventory while in our possession shall not exceed the declared value of the affected items or $500, whichever is less.
- We are not liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, marketplace penalties, or account suspensions.
- We recommend that you maintain your own insurance coverage for inventory stored at our facility.
- Claims for lost or damaged inventory must be submitted in writing within 14 days of the incident.
7. Service Standards
- We strive to process all orders within 24–36 business hours of receiving. Processing times may vary during peak seasons or for large shipments.
- We follow Amazon, eBay, and Walmart prep guidelines and requirements. However, we are not responsible for changes in marketplace policies that may affect your listings or shipments.
- If we identify any issues with your inventory or instructions, we will contact you before proceeding.
8. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information about your products and prep requirements
- Ensure all products comply with applicable laws and marketplace policies
- Respond to communications from our team in a timely manner
- Pay all invoices in a timely manner
- Maintain valid seller accounts on the marketplaces where your products are sold
9. Termination
Either party may terminate the service relationship at any time with written notice. Upon termination, you are responsible for arranging the pickup or return shipment of your remaining inventory within 30 days. Any outstanding invoices must be paid in full before inventory is released. Inventory not claimed within 60 days of termination may be disposed of after written notice.
10. Intellectual Property
All content on the HM Prep website, including text, images, logos, and design elements, is the property of HM Prep and is protected by copyright and trademark laws. You may not reproduce, distribute, or use any content from our website without written permission.
11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Hudson County, New Jersey.
12. Changes to These Terms
We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
